Great American Financial Corp., formerly known as Interactive Gaming and Communications Corp., incorporated in June 1986, is a holding company that conducts business in the gaming industry through Intersphere Communications, Ltd. (PA), a software development, marketing and Internet communications company specializing in the Internet market. The gaming industry is comprised of five separate service industries: traditional pari-mutuel wagering on horse and dog racing; casino and riverboat gambling; lotteries; charitable organization gambling (Bingo and Las Vegas Nights), and sports book. The Company operates in all of the segments via the Internet/intranet, telecommunications and broadband video streaming utilizing proprietary software developed by its subsidiaries and joint venture affiliates. The Company derives its revenues from licensing fees and royalties on its products, advertising revenue from its portal Websites and Internet related business-to-business (B2B) development and design services.

Intersphere developed the LiveAction Gaming Platform wagering system that allows casino race and sports books to take a wager from a customer over the Internet. Intersphere's revenues are derived from Web page development and design, traditional advertising, licensing of the LiveAction Gaming Platform and the development of other related gaming software products and B2B Internet solutions.

The Company originally operated under the name of Entertainment Tonight Video Express Ltd. to develop a market for the home delivery of video cassette rentals, which effort was abandoned in November 1987. From December 1987 until August 1994, the Company did not conduct any operations, transactions or business activities. In October 1994, the Company acquired Sports International, Ltd. (Antigua) and its business from the stockholders of Sports International, Ltd. (Antigua). Each of the Company's subsidiaries provides several proprietary products and services to the Internet, national and international marketplaces. The Company is responsible for supplying its subsidiaries with administrative and management assistance, accounting, consulting and necessary funding to complete projects or initiate endeavors.
