Venture
Catalyst Inc. (VCAT), formerly Inland Entertainment Corp. and Inland Casino
Corp., provides gaming consulting and infrastructure and technology integration
services in the California Native American gaming market. The Company offers
comprehensive gaming and hospitality consulting services, financial advisory
services, public and governmental relations, strategic planning, technology
solutions and professional and technical expertise. VCAT acts as a critical
resource partner, available to work with clients during every stage of their
development and financial growth. It has one client, the Barona Group of Capitan
Grande Band of Mission Indians (the Barona Tribe), a federally recognized,
sovereign Native American tribe.
VCAT is the successor to a corporation organized in June 1994, Inland Casino
Corp. During the year ended June 30, 2000 (fiscal 2000), the Company decided to
discontinue its Internet gaming consulting business, liquidate its wholly owned
foreign subsidiary, Worldwide Media Holdings, N.V. (WMH) and shut down its Vegas
At Home Website. In August 2000, VCAT sold the Internet domain names of
Cyberworks Inc. and agreed to cease using the business name. The operations of
Cyberworks were subsequently consolidated into the Company. In January 2000, as
part of its diversification strategy, VCAT acquired webinc, a corporation whose
business plan focused on consulting, incubation and venture capital-related
services to start-up and early stage companies focusing on Internet
infrastructure and technology. The operations of webinc were consolidated into
the Company. In March 2000, VCAT acquired CT Interactive Inc. (CTI), a
full-service technology management firm. The operations of CTI were consolidated
into the Company.
During the fiscal year ended June 30, 2001 (fiscal 2001), the Company initiated
a research and development project focused on creating a fully integrated
customer relationship management (CRM) and marketing software product for the
gaming and hospitality industry, which it refers to as Mariposa (Mariposa).
Mariposa, which VCAT formerly referred to as CRM software, works in conjunction
with a casino's existing player tracking and other data systems, transforming
raw data into useful, useable information. Mariposa is a fully integrated CRM
and marketing software product. It works with a casino's existing player
tracking and other data systems to assimilate raw data into useful, usable
marketing information. Mariposa enables casinos to cultivate better
relationships with their customers by allowing targeted design of marketing
programs.
Mariposa consists of a suite of functionally distinct modules, each designed to
address a specific set of requirements within the casino and hospitality
industry. The modules may be deployed as an integrated solution or individually,
depending upon the customer's needs and financial resources. The individual
modules that make up the Mariposa system are a data warehouse, player contact
system, customer profiling and reporting, campaign management and data
visualization. This integrated software suite allows casinos to gain a complete
picture of their customers and then develop targeted marketing programs.
In March 2002, a working model of Mariposa was installed at the Barona Casino
for purposes of evaluation in a live environment. As a test installation, the
modules have been deployed on a limited basis to evaluate the application prior
to completing the product that would be suitable for general release. On June
30, 2002, the first version of the finished product (Mariposa Version 1.0) was
released, and, subsequently, Versions 1.1 and 1.2 were completed. In September
2002, Mariposa was formally launched to the public. Although the Company has
received several serious inquiries from potential clients, as of June 30, 2002,
no sales have been made.
